Terms of Service

By accessing our website, placing an order, requesting samples, or entering into any business arrangement with Guangzhou Zhun Ming Trim Company (established 2016, Guangzhou, China), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These Terms constitute a legally binding agreement between you and the Company. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not use our services or place orders with us.

Guangzhou Zhun Ming Trim Company provides a comprehensive range of garment accessories and related services, including but not limited to:

• Labels: Woven labels, heat transfer labels, PVC/rubber labels, leather labels, and metal labels
• Tags & Patches: Hang tags, embroidery patches, and custom decorative elements
• Hardware: Zippers, sliders, buttons, fasteners, and elastic tapes/drawcords
• Custom Development: OEM/ODM product development based on client specifications
• Sourcing Services: One-stop garment accessories sourcing for the global apparel industry

All products are manufactured in compliance with OEKO-TEX® STANDARD 100 certification requirements. The Company reserves the right to modify, suspend, or discontinue any product or service at any time with reasonable prior notice.

All orders are subject to acceptance by the Company. A purchase order submitted by the Client constitutes an offer to purchase and is not binding until confirmed in writing by the Company.

Order cancellations must be submitted in writing. Custom orders that have entered production may not be cancelled without incurring applicable production costs. The Company will communicate any applicable cancellation fees prior to confirming cancellation.

The Company offers complimentary samples with full technical data sheets to qualified business clients. Sample requests are subject to the following conditions:

  Turnaround Time: Standard sample production is completed within 3-7 business days from receipt of confirmed specifications and artwork files.

  Complimentary Samples: Initial samples for standard products may be provided at no charge. Complex custom samples may require a sample fee, which will be credited toward the first production order.

  Approval Process: Client must provide written approval of samples before production commences. The Company is not liable for discrepancies arising from unapproved production runs.

  Shipping Costs: Sample shipping costs are the responsibility of the Client unless otherwise agreed in writing.

Payment terms are established per individual order agreements. Standard payment terms are as follows:

Accepted payment methods include T/T (Telegraphic Transfer), L/C (Letter of Credit), and other methods as mutually agreed. All bank charges outside of China are the responsibility of the Client. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

The Company ships to 30+ countries worldwide. Delivery terms are established per order and are typically quoted as FOB Guangzhou or as otherwise agreed. The following conditions apply:

• Lead Times: Production lead times are confirmed at the time of order and are subject to order complexity, quantity, and current production schedules. Estimated lead times are provided in good faith and are not guaranteed.
• Risk of Loss: Title and risk of loss transfer to the Client upon handover to the carrier, unless otherwise specified in the purchase agreement.
• Import Duties & Taxes: The Client is responsible for all import duties, taxes, customs clearance fees, and any other charges imposed by the destination country.
• Force Majeure: The Company shall not be liable for delays caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, labor disputes, or supply chain disruptions.

The Company is committed to delivering products that meet agreed specifications and quality standards. Our quality control process includes multi-stage inspections throughout production.

Inspection on Receipt: Clients must inspect goods within 7 business days of receipt and report any quality defects or discrepancies in writing within this period. Claims submitted after this window may not be accepted.

Returns & Remedies: For verified manufacturing defects, the Company will, at its discretion, offer replacement products, credit toward future orders, or partial refund. Returns require prior written authorization from the Company. Unauthorized returns will not be accepted.

Tolerance: Industry-standard dimensional and color tolerances apply to all products. Variations within accepted tolerance ranges do not constitute defects.

All intellectual property rights in designs, artwork, and custom product specifications submitted by the Client remain the exclusive property of the Client. By submitting such materials, the Client grants the Company a limited, non-exclusive license to use the materials solely for the purpose of fulfilling the Client's orders.

The Company's proprietary manufacturing processes, technical know-how, and standard product designs remain the exclusive intellectual property of Guangzhou Zhun Ming Trim Company.

Client Warranty: The Client warrants that all artwork, logos, and designs submitted are owned by or properly licensed to the Client, and that their use does not infringe upon any third-party intellectual property rights. The Client shall indemnify the Company against any claims arising from intellectual property infringement related to Client-submitted materials.

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of their business relationship. "Confidential Information" includes, but is not limited to, product designs, pricing agreements, business strategies, client lists, and technical specifications.

Neither party shall disclose Confidential Information to any third party without prior written consent, except as required by applicable law or regulation. This obligation of confidentiality shall survive the termination of any business relationship between the parties for a period of three (3) years.

The Company will not use Client artwork, designs, or brand materials for promotional purposes without express written consent from the Client.

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunity, or loss of data, arising from or related to any order, product, or service, even if the Company has been advised of the possibility of such damages.

The Company does not warrant that its products will meet all regulatory requirements in the Client's jurisdiction. It is the Client's responsibility to ensure that products comply with all applicable laws and regulations in the destination country.

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or related to these Terms or any business transaction between the parties shall be resolved as follows:

  Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.

  Arbitration: If negotiation fails, disputes shall be submitted to the Guangzhou Arbitration Commission for arbitration in accordance with its rules. The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding.

  Language: In the event of any conflict between a translated version of these Terms and the Chinese-language version, the Chinese version shall prevail.

The Company reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website or notification to registered clients via email. The "Last Updated" date at the top of this document reflects the most recent revision.

Your continued engagement with our services following notification of changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically to stay informed of any updates.

For material changes that significantly affect your rights or obligations, we will provide at least 30 days' advance notice where reasonably practicable.
